Terms of Service

1. Parties

These Terms are between MATAJER AI E COMMERCE L.L.C, trade licence 92494 issued by the Department of Economic Development, Ajman (issued 17 July 2017; Ajman Chamber of Commerce membership no. 102351), Office No. 01-03-04, Al Jurf 3, P.O. Box 1234, Ajman, United Arab Emirates ("Matajer AI") and the business that uses the Matajer AI platform ("Customer"). Whoever accepts them confirms they are authorised to bind the Customer.

2. The service

Matajer AI provides an e-commerce operations platform. Its Advertising Center lets the Customer connect its own advertising accounts (including Meta, through the "Matajer AI Ads" app, TikTok, through our TikTok For Business developer app "Matajer AI Ads", and Snapchat, through our Snapchat Marketing API app "Matajer AI Ads") to create, manage, pause and report on campaigns from one place.

3. Accounts and eligibility

The service is for businesses only. The Customer keeps its login credentials secure and is responsible for activity under its accounts and for the users it adds.

4. Connecting advertising platforms

• The Customer authorises Matajer AI to access the assets it selects and to act on them on its instructions.
• The Customer must own or be authorised to use every connected asset.
• The Customer must comply with the terms and policies of each platform, including Meta's Commercial Terms, Advertising Standards and Community Standards. Matajer AI complies with the Meta Platform Terms and Developer Policies.
• The Customer must comply with TikTok's Commercial Terms of Service, Advertising Policies and Business Products (Data) Terms. Matajer AI complies with the TikTok For Business Developer Terms.
• The Customer must comply with the Snap Business Services Terms, the Snap Business Tools Terms, Snap Advertising Policies, any other Snap Supplemental Terms and Policies that apply to the services it uses and, where it uses the Snap Pixel or Conversions API, the Snap Conversion Terms. Matajer AI complies with the Snap Developer Terms and Snap Business Tools Terms. Matajer AI is not affiliated with, endorsed or sponsored by Snap Inc.
• The Customer can revoke access at any time (see our Data Deletion page).

5. Advertising spend and content

All ad budgets, spend, billing and taxes charged by Meta or other platforms are the Customer's responsibility and are paid to the platform directly. The Advertising Center shows platform ad spend separately from any Matajer AI fees. The Customer is responsible for its ads' content, targeting, landing pages and legal compliance. Matajer AI does not guarantee approval, delivery or results of any ad.

6. Fees

Fees, billing periods and payment terms for the platform are set out in the Customer's subscription agreement or order form. If that agreement conflicts with these Terms on fees, the agreement prevails.

7. Acceptable use

The Customer must not: break any law; run deceptive, discriminatory or prohibited ads; access another customer's data; attempt to bypass security or rate limits; reverse-engineer the platform; or use it to collect data about individuals in breach of law or platform policies.

8. Data protection

Our Privacy Policy (https://official.matajerai.ae/en/privacy) explains how we handle data. Each Customer's data is kept separate and is used only to provide the service to that Customer.

Personal data that the Customer brings into the platform, or receives from Meta, TikTok or Snapchat through it, is processed by Matajer AI only on the Customer's documented instructions, as the Customer's processor (service provider) under UAE Federal Decree-Law No. 45 of 2021 and these Terms. Matajer AI keeps it confidential and secure, uses only the sub-processors listed in the Privacy Policy, helps the Customer answer requests from data subjects, and deletes it as set out in the Privacy Policy when the connection ends.

9. Intellectual property

The platform, software and brand belong to Matajer AI. The Customer keeps ownership of its data, ad content and media and gives Matajer AI a limited licence to use them only to provide the service.

10. Availability

We aim for high availability but the service is provided "as is" and "as available". Third-party platforms (such as Meta, TikTok or Snap) may change or interrupt their APIs, which can affect features.

11. Limitation of liability

To the extent permitted by UAE law, Matajer AI is not liable for indirect or consequential loss, lost profits, ad spend, or third-party platform actions. Our total liability is limited to the fees the Customer paid in the 12 months before the claim.

12. Suspension and termination

We may suspend access for breach of these Terms or platform policies, or where required by law, Meta, TikTok or Snap. Either party may terminate as set out in the subscription. On termination, connections are revoked and data is deleted as described in our Privacy Policy.

13. Changes

We may update these Terms and will post the new version here with its date. Continued use after the update means acceptance.

14. Governing law and courts

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. The courts of Ajman have exclusive jurisdiction.
